The Seychelles tax system is known as "offshore". The jurisdiction completely exempts from taxes corporations that do not operate in the Seychelles, do not own local real estate and are not engaged in licensed activities. This exemption applies to all tax liabilities: corporate tax, VAT, dividends, etc. 

In all other cases, companies pay local taxes. Income tax up to 1 000 000 SCR (about 74 000 USD) at a rate of 25%, over - 33%. In the coming year, the Seychelles are planning to lower these rates to 15% and 25%, respectively.

Also for small businesses in 2022, a pilot PAYE tax scheme has been launched. Under this program, companies with a turnover of up to 1 000 000 SCR can pay monthly income tax at a rate of 1,5% per annum.

In the Seychelles, it is possible to register a limited liability company, a special licensed company, an international business company, a limited liability partnership, a trust, a fund.

International Business Company, abbreviated IBC, is used by non-residents as an offshore structure for tax exemptions.

  • Capital – no requirements for formation and specific size. The default is 100 000 USD.
  • Shareholder - a private or corporate person of any residency. The minimum number is one.
  • Director - a private or corporate person of any residency. The position is compatible with the shareholder.
  • Secretary - the appointment is optional, the legislator does not require.
  • Register of beneficial owners - companies are required to maintain an internal register of owners and submit it to the registered agent. Data is disclosed only to controlling persons.
  • Available information - about the name of the company, legal address, the size of the authorized capital. Data on shareholders and directors is not publicly available.
  • Substance requirements - only concern the storage of accounting and financial records.
  • Legal address - the address of the registered agent in the Seychelles. The office must store all company data, registers, minutes of meetings, accounting or a resolution on the place of its storage.
Reporting

Offshore companies are globally exempt from filing annual financial statements. But, due to the tightening of international regulation in the jurisdiction, a requirement has been introduced to store the accounting records of all, without exception, companies for the last 7 years. For example, accounting may be kept at the company's legal office or elsewhere. If the original accounting documents are not stored in the Seychelles, the registered agent must send copies and provide the address where the originals are stored.

In addition to accounting, large companies with a turnover of more than 3 500 00 USD must also annually form and store a Financial Summary with a registered agent.
